Context:

Attorney General Jim Petro is committed to promulgating rules that would require hospitals to register and annually file

their IRS Form 990 with the attorney general’s (AG) office. This requirement is only one of several regulations that reflect

a broader public perception that hospitals and other not-for-profit entities need to be more publicly accountable. Much of

this scrutiny is coming about as a result of corporate misconduct by leaders of organizations like Enron. Also contributing

to ongoing scrutiny are attacks directly against hospitals and their leadership by organized labor like the Service

Employees International Union (SEIU), advocacy groups (KB Forbes – hospital victims.com) and

wherethemoneygoes.com. Under particular scrutiny are executive compensation levels, hospital billing and collection

practices, and challenges to hospital governing board authority.

As part of the AG response to public accountability requirements, an advisory council will be established to advise the AG

on various issues, including governance, administration and model policies. Hospitals will have a designated seat on the

council. The Attorney General wants the OHA to be represented by one of 11 seats on his new advisory council, which

is being created immediately in addition to being part of the proposed rules. The filing with JCARR begins a rule review

process that dictates a public hearing in early or mid-October, with the rules being finalized in early November.

This context prompted the OHA Board of Trustees to clarify and document standards hospitals can use to bolster

charitable purpose, demonstrate community benefit and consequently protect tax exempt status. This educational initiative

will help hospital leadership understand and apply standards to their governance activities and financial operations in ways

that assure the public and public officials that hospitals continue to provide vital services in the communities’ interest.

Format:

These two telephone briefing sessions precede a series of OHA’s traditional Trustee Dinner Meetings. These audio

conference briefings will provide hospital staff information and resources to enlist trustee and medical staff participation

in the Trustee Dinner Meetings that will ultimately equip these volunteer community opinion leaders with the tools to

effectively advocate for hospitals in this new era of scrutiny.

This seminar will be of particular benefit to trustees, hospital chief executives, finance officers, medical staff leaders and

hospital legal counsel.

Discussion Leaders:

R. Reed Fraley is a Senior Vice President and Chief of Staff for the Ohio Hospital Association where he works to

enhance OHA’s relationships with health systems throughout Ohio and develops programming for hospital trustees. Prior

to joining the OHA staff in 2004, Reed served as vice president for health services and CEO of the Ohio State University

(OSU) Health System. He has also held the position of executive director of The Ohio State University Hospitals and other

senior administrative positions with health systems throughout the country. In addition, Reed is a previous chair of the

OHA Board of Trustees and of the University HealthSystem Consortium Board of Trustees. He currently chairs the

Access Health Columbus Board and is a member of the OSU Self-Insurance Board and Med-Ohio Health Homecare

Services Board.

Mary Gallagher is Vice President for Legal Affairs for the Ohio Hospital Association where she oversees litigation

activities, legal issues and selected health policy issues for OHA and its members. Mary worked with hospital

representatives to influence the Ohio Attorney General’s Office in a manner that resulted in significantly less onerous rules

for Ohio’s not-for-profit organizations. Before joining OHA, Mary was an associate at the law firm of Baker and Hostetler

where she worked extensively on hospital and managed care contracts for the benefit of client hospitals. She is also a

member of the American Health Lawyers Association and the American, Ohio and Columbus Bar Associations as well as

several community and charitable causes. Mary earned her bachelor’s degree in English, cum laude with honors, and her

juris doctor from the Ohio State University.

Mike Gire chairs the Bricker & Eckler, LLP health care department. His practice emphasizes mergers and acquisitions,

general corporate law, federal and state regulatory issues, Medicare and Medicaid reimbursement and fraud and abuse,

medical staff issues, and antitrust. Mike has extensive experience in working collaboratively with consortiums and

communities, and represented the Dayton hospitals in the development of the Dayton Area Health Plan, the pilot Medicaid

mandatory enrollment managed care program and the Dayton hospitals in the negotiation and development of an indigent

care levy to provide taxpayer support for the care of indigents in Montgomery County. He has participated in over 45

hospital mergers, or corporate affiliations for the development of local hospital networks. Mike is also a member of the

board & executive initiative practice group.

Prior to joining Bricker & Eckler LLP, Mike was an analyst for the Civil Actions Branch of the Office of Hearing and

Appeals for the U.S. Department of Health and Human Services.
